Terms of Service

Welcome to the URWAY platform, mobile applications, website, software, and related services (collectively, the “Service”). These Terms of Service (“Terms”) govern access to and use of the Service.

The Service is owned and operated by URWAY Technologies Inc., a Delaware corporation headquartered in New Jersey (“URWAY”).

By creating an account, accessing, browsing, downloading, or using the Service, the user agrees to be bound by these Terms. If the user does not agree, the user must not use the Service.

Eligibility

The Service may be accessed by individuals of any age; however:

  • Use of the Service does not grant any legal right to operate a motor vehicle.
  • Users must independently satisfy all licensing, age, insurance, and legal requirements applicable in their jurisdiction before operating any vehicle.
  • Minors should use the Service only with parental or guardian supervision where appropriate.

Purpose of the Service

URWAY is a navigation, route discovery, community, and enthusiast platform designed to help users:

  • Discover roads and destinations
  • Plan lawful drives and events
  • Connect with automotive communities
  • Share routes, content, and experiences
  • Coordinate lawful gatherings and group drives

URWAY is intended to support safe, lawful, and respectful automotive enthusiasm.

Safety First / Lawful Use Requirement

Use of the Service must always comply with all applicable:

  • Federal laws
  • State laws
  • County laws
  • Municipal laws
  • Traffic regulations
  • Vehicle codes
  • Parking rules
  • Noise ordinances
  • Public safety directives
  • Orders of law enforcement authorities

Users are solely responsible for knowing and following the laws of every jurisdiction through which they travel.

URWAY does not encourage, condone, organize, recommend, or promote:

  • Speeding
  • Street racing
  • Reckless driving
  • Aggressive driving
  • Driving under the influence
  • Distracted driving
  • Evading law enforcement
  • Trespassing
  • Property damage
  • Illegal parking or road obstruction
  • Harassment of the public
  • Public nuisance conduct
  • Dangerous stunts
  • Any unlawful or unsafe activity

Explicit Prohibition on “Takeovers” and Similar Conduct

URWAY explicitly condemns and prohibits use of the Service for organizing, promoting, participating in, facilitating, broadcasting, or coordinating illegal street “takeovers” or similar events.

For purposes of these Terms, “takeovers” include unlawful gatherings in intersections, roadways, parking facilities, or public spaces involving one or more of the following:

  • Blocking intersections or roads
  • Dangerous driving exhibitions
  • Burnouts or drifting in public streets
  • Street racing
  • Fireworks or weapons
  • Assault, vandalism, theft, or disorderly conduct
  • Interference with emergency vehicles
  • Crowd endangerment
  • Any conduct threatening public safety

Use of URWAY for takeover activity, similar unlawful gatherings, or related coordination is grounds for immediate suspension or permanent termination.

URWAY supports responsible automotive communities and rejects conduct that endangers the public or damages the reputation of lawful enthusiasts.

Cooperation With Law Enforcement

URWAY may preserve, review, and disclose account information, route data, chat records, logs, or other relevant information when URWAY determines disclosure is appropriate to:

  • Comply with subpoenas, warrants, court orders, or lawful requests
  • Investigate threats to safety
  • Prevent imminent harm
  • Investigate illegal activity
  • Protect users, the public, or URWAY
  • Enforce these Terms

URWAY may voluntarily cooperate with lawful investigations involving public safety threats, including illegal “takeovers,” violent conduct, or coordinated criminal misuse of the Service, to the extent permitted by law.

User Accounts

Users are responsible for:

  • Maintaining accurate account information
  • Protecting login credentials
  • Activities occurring under the account
  • Promptly reporting unauthorized access

URWAY may suspend or terminate accounts that violate these Terms.

User Content

Users may submit routes, images, comments, chat messages, vehicle profiles, event information, and other content (“User Content”).

The user retains ownership of User Content, but grants URWAY a worldwide, non-exclusive, royalty-free license to host, store, display, reproduce, modify for formatting, and distribute User Content for operation of the Service.

Users may not upload content that is:

  • Illegal
  • Fraudulent
  • Threatening
  • Harassing
  • Pornographic
  • Infringing
  • Defamatory
  • Violent
  • Dangerous
  • Designed to facilitate unlawful conduct

Navigation and Route Disclaimer

The Service may provide maps, route suggestions, road recommendations, location data, or event information.

URWAY does not guarantee:

  • Road conditions
  • Traffic accuracy
  • Weather safety
  • Closures
  • Hazards
  • Legality of roads or stops
  • Suitability for any vehicle
  • Accuracy of third-party map data

Drivers must use independent judgment at all times and obey posted signs and applicable laws.

Actual road conditions always control over app content.

No Use While Distracted

Users must not interact with the Service in a manner that violates distracted driving laws or creates danger.

Drivers should use mounted devices, voice tools where lawful, or passenger assistance.

Safety always comes before app interaction.

Vehicle and Event Listings

URWAY may allow profiles for vehicles, clubs, communities, and events.

URWAY does not guarantee the legitimacy, safety, or conduct of third parties.

Participation with other users is at the user’s own risk.

Intellectual Property

The Service, including branding, logos, design, software, text, graphics, and features, is owned by URWAY or licensed to URWAY and protected by law.

No rights are granted except limited personal use of the Service.

Suspension / Termination

URWAY may suspend, restrict, or terminate access at any time for:

  • Violation of these Terms
  • Safety risks
  • Fraud
  • Illegal conduct
  • Misuse of platform tools
  • Reputational harm
  • Abuse of users or staff
  • Suspected takeover coordination or similar misuse

Disclaimers

The Service is provided “as is” and “as available.”

URWAY disclaims warranties including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or error-free performance.

Limitation of Liability

To the maximum extent permitted by law, URWAY shall not be liable for indirect, incidental, consequential, punitive, or special damages arising from use of the Service.

URWAY’s aggregate liability shall not exceed the greater of:

  • $100 USD, or
  • amounts paid by the user to URWAY in the prior 12 months.

Arbitration / Dispute Resolution

Any dispute arising from these Terms or the Service shall be resolved by binding individual arbitration administered under applicable arbitration rules.

  • No class actions
  • No jury trial
  • Individual claims only

Arbitration shall occur in New Jersey unless otherwise required by law.

Users may first contact URWAY to seek informal resolution.

Governing Law

These Terms are governed by the laws of the State of Delaware, except where preempted or superseded by applicable law.

Changes to Terms

URWAY may update these Terms at any time. Continued use after updates constitutes acceptance of revised Terms.
